Both can link two facts about the same subject, but 代わりに frames the second as compensation the first one buys — a trade-off the speaker treats as fair (駅[えき]から遠[とお]い代わりに家賃[やちん]が安[やす]い "far from the station, but the rent is cheap to make up for it" — an expected, deliberate exchange), while のに demands the pairing be a genuine surprise against the norm (駅から近[ちか]いのに家賃が安い "even though it's close to the station, the rent is cheap" — nearness is expected to cost MORE); swap them and 代わりに loses its implied fairness, のに loses its surprise.
